Part I — About this license and this release
What this document is
This is a single, self-contained document. It is both the explanation of how this release works and the license that governs it.
It applies to one release: the film THE CULLY HILL BOYS and the production materials published with it. It applies to nothing else. No right in any other Higgsfield film, asset, model, preset, workflow or material arises from this license, expressly or by implication.
Why the build is published at all
A film is normally published as a finished artefact. The prompts that produced it, the references, the parameters, the seeds, the failed generations and the order in which the shots were built stay closed, and the craft stays invisible. Higgsfield publishes the build of this film so that the craft is visible: so that a director can see how a sequence was constructed, a student can see how a character was held consistent across shots, and a sceptic can see exactly what was and was not done by hand.
Visibility is the entire purpose. Reuse is not part of it. This release is published to be studied, not to be harvested, and this license is drawn tightly around that distinction. What follows is deliberately strict: everything that is not expressly permitted in Articles 2 and 3 is prohibited.
Who is who
Higgsfield Inc. is the licensor. For this release Higgsfield is not acting as a platform hosting someone else's work. It owns or controls the rights it grants here, it is the Creator of the Work, and it grants this license directly to you. Nothing in this document places responsibility for this release on a user.
You are the licensee. You accept this license by accessing or viewing the Work or the Release Materials. There is nothing to sign and nothing to register. If you do not accept it, do not access them.
How this release is presented
The badge HOL-RO appears on the film's page and links to this license. The Notice reproduced in Part III is published on that page. There is no download action for the Release Materials; they are presented for viewing and inspection on the Platform. The build is browsable, and every panel that shows a prompt, a parameter or a workflow carries the same badge.
What this license deliberately does not do
It does not clear anything for you. It does not grant any right in third-party brands, products, artworks, trade dress, music or persons that appear in or are referenced by the Work. It does not grant any trademark or name right. It does not create any obligation on Higgsfield to keep this release published. It is not legal advice, and it does not restrict any right you have under mandatory applicable law, including any statutory exception for quotation, criticism, review, news reporting, teaching or research.
Part II — License text
1. Definitions
1.1 "Higgsfield" means Higgsfield Inc., the licensor under this license.
1.2 "You" means the person or entity accessing the Work or the Release Materials or exercising the permissions granted by this license. "Your" has a corresponding meaning.
1.3 "Work" means the film THE CULLY HILL BOYS, in any version, cut, edit, duration or format published by Higgsfield, together with its title, credits, poster art and key art.
1.4 "Release Materials" means the production materials published by Higgsfield with the Work under this license, being the elements made available with the Notice, including prompts, prompt chains and negative prompts, parameters, seeds, model and preset selections, workflows and node graphs, character sheets, reference images, environment and prop references, style references, storyboards and shot plans, intermediate and discarded generations, final outputs, and any accompanying documentation or commentary.
1.5 "Platform" means the Higgsfield Platform at higgsfield.ai and any successor or associated service through which Higgsfield publishes the Work and the Release Materials.
1.6 "Platform Terms" means the Higgsfield Terms of Use and the other policies applicable to use of the Platform, as amended from time to time.
1.7 "Notice" means the notice published by Higgsfield with this release, reproduced in Part III.
1.8 "Study" means viewing, reading, watching, examining, analysing, annotating for your own reference, learning from, teaching from, writing about and discussing the Work and the Release Materials, by human beings.
1.9 "Excerpt" means a short extract of the Work or of a single element of the Release Materials, used within the limits of Article 3.
1.10 "Generative Use" means any use of any part of the Work or the Release Materials, in whole or in part, as an input to, prompt for, reference for, conditioning of, or influence on any automated or machine process that produces or modifies any image, video, audio, text, model, embedding, representation or other output. Generative Use includes use as a prompt, negative prompt, parameter set, seed, workflow, character reference, style reference, pose or motion reference, image-to-image or video-to-video input, or reference set of any kind, on any system, whether operated by Higgsfield or by anyone else.
2. Grant: study only
2.1 Permission to access and study. Subject to your compliance with this license, Higgsfield grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable permission to access, view and Study the Work and the Release Materials as published on the Platform, for your own study, learning, research, education, journalism, commentary and professional development.
2.2 Nature of the permission. This is a permission to look and to learn. It is not a licence to copy, to use, to build with, to distribute or to exploit. It confers no interest in the Work or the Release Materials.
2.3 Human study only. The permission in Article 2.1 is granted for study by human beings. It does not extend to any automated processing of the Work or the Release Materials, whether or not that processing produces an output.
2.4 No other rights. No right is granted other than as expressly stated in Articles 2 and 3. All other rights are reserved. Nothing in this license grants any right by implication, exhaustion, estoppel, course of dealing or otherwise, and no failure by Higgsfield to enforce any provision grants any right.
2.5 Everything not permitted is prohibited. Article 4 lists the principal prohibited uses. That list is illustrative of the rule in this Article and does not narrow it: any use that is not expressly permitted by Article 2 or Article 3 is prohibited.
3. Permitted excerpts for commentary, review and teaching
3.1 What is permitted. You may reproduce Excerpts in a review, criticism, commentary, news report, academic paper, conference talk, classroom lesson or other genuine editorial or educational treatment of the Work, subject to Articles 3.2 to 3.6.
3.2 Limits. Excerpts of the Work must not exceed, in aggregate in any one treatment, thirty (30) seconds of moving image or three (3) still frames. Excerpts of the Release Materials must be limited to what is reasonably necessary to make the point being made, must not amount to the substance of a prompt chain, parameter set or workflow, and must not be presented in a form from which the underlying prompt, parameter set or workflow could be reconstructed and reused.
3.3 Credit. Every Excerpt must carry the following credit, legibly and adjacent to the Excerpt or in the credits of the treatment in which it appears.

3.4 Manner of use. Excerpts must be used in the context of the treatment and not as standalone content. They must not be presented as, or in a manner suggesting, endorsement, sponsorship, partnership or approval by Higgsfield. They must not be used in advertising or promotion of any product or service other than the treatment itself. Credits, notices, watermarks and provenance information must not be removed, obscured or altered.
3.5 What Article 3 does not permit. Article 3 does not permit Generative Use, does not permit republication of the Work or of the Release Materials as such, does not permit reaction or compilation formats consisting substantially of the Work, and does not permit use of an Excerpt as a reference for the creation of anything.
3.6 Mandatory law. Nothing in this Article limits or is intended to limit any right you have under mandatory applicable law, including any statutory exception or limitation for quotation, criticism, review, news reporting, teaching, research, parody or private study. Article 3 is a permission granted in addition to those rights, not a restriction on them.
4. Prohibited uses
Without limiting Article 2.4 or 2.5, you must not, and must not permit or enable any other person to:
4.1 Copy or retain. Copy, download, record, screen-capture, print, cache other than through the ordinary and transient technical caching performed automatically by your browser or device in the course of permitted viewing, store, archive, or otherwise retain any part of the Work or the Release Materials.
4.2 Use as data. Use, submit or include any part of the Work or the Release Materials in any dataset, corpus, index, embedding store or collection, or use any part of them to develop, train, fine-tune, adapt, condition, evaluate, benchmark or test any model, system or automated process.
4.3 Generate. Make any Generative Use.
4.4 Create derivatives. Create, publish or distribute any adaptation, derivative work, edit, re-edit, recut, remix, mashup, translation, subtitle track, dub, colour grade, upscale, extension, continuation, sequel, prequel, spin-off, alternative version, fan film, fan fiction or other work based on or derived from the Work or the Release Materials, or set in, continuing or expanding its story, world, characters or setting.
4.5 Distribute. Reproduce, publish, republish, upload, broadcast, stream, perform, display, transmit, share, sell, licence, sublicense, rent, lend or otherwise make available any part of the Work or the Release Materials, other than an Excerpt used strictly under Article 3.
4.6 Use commercially. Use any part of the Work or the Release Materials for any commercial purpose, including in or in connection with any product, service, advertisement, sponsored content, client work, pitch, showreel, portfolio piece, paid course, paid newsletter or monetised channel, other than an Excerpt used strictly under Article 3.
4.7 Extract by automated means. Access, collect, extract, harvest, index or copy any part of the Work or the Release Materials by automated means, including any robot, spider, script, extension, headless browser or bulk downloader, or circumvent, disable or interfere with any access control, rate limit, watermark, fingerprint, provenance mechanism or other technical protection measure.
4.8 Use persons. Use, reproduce, simulate, synthesise, clone, imitate or otherwise exploit the likeness, face, body, voice, movement, mannerisms or performance of any performer or other identifiable person appearing in or contributing to the Work, or create any impression that any such person endorses, is associated with or has contributed to anything.
4.9 Use names and marks. Use the title of the Work, the names of its characters, its logos, its key art, or the names, logos or marks of Higgsfield, other than the credit required by Article 3.3 and factual reference to the Work in the course of permitted commentary.
4.10 Claim rights. Apply to register, register, assert or seek to enforce any copyright, trademark, design right, database right or other intellectual property right in or in respect of the Work, the Release Materials, their titles, characters or elements, or any confusingly similar subject matter.
4.11 Mislead. State or imply that you are the author of the Work or the Release Materials, that your work is authorised, endorsed, approved or produced by Higgsfield, that your work is part of, based on or connected with the Work, or that any use you make is licensed when it is not.
4.12 Transfer. Assign, transfer, sublicense or purport to grant to any person any right in the Work or the Release Materials, or represent that any person other than Higgsfield may grant such a right.
5. Independent creation
5.1 Nothing in this license restricts your own independent creation of work that is not derived from the Work or the Release Materials. Being influenced, informed or inspired by having studied the Work is not itself a breach of this license.
5.2 The line between influence and derivation is a question of applicable law, and assessing it is your responsibility and your risk. Article 5.1 is not a permission to reproduce protected expression, to reuse a character, to reuse an excluded likeness, or to make Generative Use.
6. Third-party rights, and what this license does not clear
6.1 The Work is a film. It may depict or reference brands, products, vehicles, buildings, artworks, designs, trade dress, typefaces, music, and real people, and it may incorporate material in which persons other than Higgsfield hold rights.
6.2 Higgsfield does not represent or warrant that it owns or controls all rights in everything depicted in or referenced by the Work or the Release Materials. Higgsfield grants only such rights as it holds and no more, and grants nothing in respect of third-party subject matter.
6.3 This license clears nothing for you. Any use of any part of the Work or the Release Materials beyond Articles 2 and 3 is unlicensed by Higgsfield and may in addition require permission from one or more third parties. Obtaining any such permission is your responsibility, at your own cost and risk, at a level appropriate to your intended use.
6.4 Rights notes published with the Notice, if any, are provided in good faith as information only. They are not a warranty, they are not exhaustive, and reliance on them is not a substitute for your own assessment.
7. Ownership and reservation
7.1 The Work and the Release Materials, and all intellectual property rights in them, remain the property of Higgsfield and its licensors. This license transfers nothing.
7.2 All rights not expressly granted in Articles 2 and 3 are reserved to Higgsfield and its licensors, including all rights of reproduction, adaptation, distribution, communication to the public, performance, display and rental, and all rights in the prompts, parameters, seeds, workflows and other production materials as such.
8. Duration, revocation and termination
8.1 Duration. This license operates while the Work and the Release Materials are published by Higgsfield under it, and while you comply with it.
8.2 Revocable. This license is revocable. Higgsfield may withdraw, restrict, amend or cease publication of the Work, the Release Materials or this license at any time, in whole or in part, for any reason and without notice, without liability to you. This license is not irrevocable and confers no expectation of continued availability.
8.3 Automatic termination. This license terminates immediately and automatically, without notice, if you breach any of its terms.
8.4 Effect of termination. On termination you must immediately cease all access to and use of the Work and the Release Materials, cease any further use of any Excerpt, and delete or destroy any copy, record, capture, extract or derivative in your possession or control, however made and whether or not made in breach of this license. Termination does not limit any other remedy available to Higgsfield, and does not affect any liability already incurred.
8.5 Reinstatement. Higgsfield may, at its sole discretion, reinstate the license of a person whose license has terminated. It is under no obligation to do so, and any reinstatement is prospective only.
8.6 Survival. Articles 4, 6, 7, 8.4, 9, 10, 11, 12, 13, 14 and 15 survive termination.
9. No warranty
9.1 THE WORK AND THE RELEASE MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OR CONDITION OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF TITLE, PROVENANCE, CHAIN OF TITLE, CLEARANCE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR QUIET ENJOYMENT.
9.2 WITHOUT LIMITING ARTICLE 9.1, HIGGSFIELD DOES NOT WARRANT THAT THE WORK OR THE RELEASE MATERIALS WILL REMAIN AVAILABLE, THAT ANY PROMPT, PARAMETER, SEED OR WORKFLOW SHOWN WILL REPRODUCE ANY PARTICULAR RESULT, OR THAT ANY DESCRIPTION, COMMENTARY OR RIGHTS NOTE PUBLISHED WITH THE RELEASE IS COMPLETE OR ACCURATE.
10. Limitation of liability
10.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIGGSFIELD WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS LICENSE, THE WORK, THE RELEASE MATERIALS OR YOUR STUDY OF THEM, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 Higgsfield's total aggregate liability arising out of or in connection with this license, the Work and the Release Materials is subject to, and does not increase, the limitation of liability in the Platform Terms. A single limit applies; the limits in this license and in the Platform Terms do not operate cumulatively.
10.3 Nothing in this license excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any liability under applicable consumer protection law.
11. Your responsibility and indemnity
11.1 You are responsible for your own use of the Work and the Release Materials and for any work you create, and for obtaining any permission that use requires.
11.2 You will indemnify and hold harmless Higgsfield and its officers, employees and agents against all claims, demands, proceedings, losses, damages, liabilities, costs and expenses, including reasonable legal fees, arising out of or in connection with your breach of this license or your use of the Work or the Release Materials otherwise than as permitted by it.
11.3 The indemnity in Article 11.2 applies to claims attributable to your own act, omission or breach. It does not extend to claims arising from Higgsfield's own act or omission.
12. Enforcement
12.1 Higgsfield may enforce this license directly.
12.2 You acknowledge that a breach of Article 4 may cause harm for which damages alone are an inadequate remedy, and that Higgsfield may seek injunctive or other equitable relief in addition to any other remedy, without the need to post security where the applicable court permits.
12.3 Higgsfield may, in addition, suspend or terminate your access to the Platform in accordance with the Platform Terms.
12.4 No delay or failure by Higgsfield in exercising any right is a waiver of that right, and no single or partial exercise precludes any further exercise.
12.5 Suspected misuse may be reported to Higgsfield through the contact route published with the release.
13. Relationship to the Platform Terms and to the Open Works License family
13.1 Platform Terms. Your use of the Platform is governed by the Platform Terms. This license governs your rights in the Work and the Release Materials. Where the two conflict on the same subject matter, the Platform Terms prevail in respect of your use of the Platform, and this license prevails in respect of the Work and the Release Materials.
13.2 This text is not published for reuse. Unlike the Open Works License family, this text is a first-party instrument published for Higgsfield Originals releases. No person other than Higgsfield may copy, adapt, reproduce or apply this text, or any confusingly similar text, to any work, and no person may use the name "Higgsfield Originals License", the identifier HOL-RO-1.0 or any identifier in the same form. Higgsfield reserves all rights in this text.
14. General
14.1 No assignment. You may not assign or transfer this license or any right under it. Higgsfield may assign it in connection with a transfer of the business or of the Work.
14.2 Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed. The remaining provisions continue in force. Where a provision is severed, the permissions in Articles 2 and 3 are read no more broadly than before severance.
14.3 Entire terms. This license, the Notice and the Platform Terms are the entire terms on which the Work and the Release Materials are made available to you, and supersede any prior statement, description or marketing material.
14.4 Governing law and forum. The governing law and the forum for disputes are those stated in the Platform Terms.
14.5 Versions. Higgsfield may publish later versions of this license. A later version applies to the Work from the date it is published with the release, and does not reduce any permission you have already lawfully exercised.
14.6 Language. This license is published in English. Where a translation is provided for convenience, the English text controls.
14.7 Headings. Headings are for convenience and do not affect interpretation.
14.8 No legal advice. This document is not legal advice to you.
15. Acceptance
15.1 By accessing or viewing the Work or the Release Materials you accept this license. If you do not accept it, do not access them.
15.2 There is nothing to sign, countersign, register or file. Acceptance is by access and use.
15.3 If you require rights beyond this license, ask. Permissions outside Articles 2 and 3 are granted only in a separate written agreement signed by Higgsfield, and no other communication, silence, badge, help-centre article or platform behaviour grants them.

Questions people will actually ask
Can I download the film or the prompts? No. There is no download, and screen capture is not a workaround. The release is published for viewing on the Platform.
Can I make a reaction video or a review? Yes, within Article 3: up to thirty seconds of moving image or three stills in aggregate, in a genuine review or commentary, with the credit in Article 3.3. A video consisting substantially of the film is not a review.
Can I copy a prompt or a workflow into my own generation? No. That is the single most clearly prohibited use in this license. You may read it, understand it, and learn the technique. You may not reuse the artefact.
Can I write a story set in this world, or continue it? No. Continuations, sequels, spin-offs, fan fiction and fan films are prohibited under Article 4.4.
Can I use it to train or test a model? No, under Article 4.2, and that includes evaluation and benchmarking as well as training.
Can I make my own film after studying this one? Yes. Article 5 protects independent creation. What you may not do is reproduce protected expression, reuse a character or a likeness, or feed any part of this release into a generation.
Why is this stricter than the Open Works Licenses? Because those licenses are chosen by Creators for their own releases, and this one is a first-party release where the point is to show the craft rather than to distribute reusable assets. A different Higgsfield release may carry a more permissive license; if so, its own notice will say so.
Who do I ask for more? Higgsfield, through the contact route published with the release. Anything beyond Articles 2 and 3 requires a signed written agreement.
